"User," "you," and "your" refer to any individual or entity accessing our website or engaging our services. "Services" refers to the consulting engagements described on our website. Services are delivered within the scope and timeframe agreed upon in individual engagement terms. Service availability may vary based on capacity and scheduling. 4. User Responsibilities

5. Intellectual Property

Consulting deliverables provided during engagements become the property of the client upon full payment, unless otherwise specified in the engagement terms.

6. Payment Terms

Consulting engagements are priced on a fixed-project basis as outlined in the engagement terms. Prices are listed in New Taiwan Dollar (NT$). Payment terms, including schedule and method, are specified in individual engagement agreements. Invoices are issued in accordance with Taiwan tax regulations. Unless otherwise agreed, payments are due within 14 days of invoice date.

7. Consulting-Specific Terms

Consulting deliverables are provided based on the data and information supplied by the client. The scope, timeline, and deliverables for each engagement are defined in writing before work begins. Any changes to scope must be agreed upon in writing by both parties. Ridgeway reserves the right to adjust timelines if the client delays in providing requested data or access. Confidentiality provisions apply to all engagement materials as outlined in mutual non-disclosure agreements.

8. Disclaimers

Our consulting services are provided on an "as is" basis. While we apply professional care and methodology to every engagement, we do not warrant specific business outcomes or financial results from our recommendations. Ridgeway's deliverables represent our professional analysis and opinion at the time of delivery. They are not a substitute for independent professional advice (legal, tax, financial, or otherwise) that may be needed for your specific circumstances.

9. Limitation of Liability

To the maximum extent permitted by law, Ridgeway shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or our services. Our total aggregate liability for any claims related to a consulting engagement shall not exceed the fees paid for that specific engagement. This limitation applies regardless of the legal theory under which damages are sought.

10. Indemnification

You agree to indemnify and hold harmless Ridgeway, its team members, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of our website, or your misuse of consulting deliverables in a manner inconsistent with the agreed scope of the engagement.

11. Termination

Either party may terminate a consulting engagement by providing written notice as specified in the engagement terms. If an engagement is terminated early, fees for work completed up to the date of termination remain payable. We reserve the right to suspend or restrict access to our website at any time without notice. Provisions of these Terms that by their nature should survive termination (including intellectual property, liability, and dispute resolution) will remain in effect.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising from or in connection with these Terms or our services shall first be addressed through informal negotiation between the parties. If informal resolution is unsuccessful within 30 days, either party may submit the dispute to the courts of Taichung, Taiwan, which shall have jurisdiction over such matters.

13. General Provisions

These Terms, together with any engagement-specific agreements, constitute the entire agreement between you and Ridgeway regarding the subject matter herein. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force. Ridgeway's failure to enforce any provision at any time does not constitute a waiver of that provision. These Terms may not be assigned by you without our written consent. 14. Changes to Terms

We may update these Terms and Conditions from time to time. Changes become effective when posted on this page with a revised date. Continued use of the website after changes are posted constitutes your acceptance of the updated Terms. For consulting clients with active engagements, material changes will be communicated in writing.
